1. What this portal is

The UER Governance Portal (gov.uerllc.hydrocarbonupgrading.com) is the depository of record for the governance instruments of United Engineering Hydrocarbon Technology LLC (UER), per UER-2026-COR-STD-0113-04 Rev 004, §6. It mirrors the issued instruments of the DMS RTT tree — the DMS remains the controlled master and the source of truth; the portal never holds working drafts.

Instruments are the record; meetings are the index. Every instrument lives in its section (Constitutive, Shareholders, Board, Registers). A meeting page links to the instruments tabled and adopted at it; it never re-homes them.

2. Signing in

The portal sits behind Cloudflare Access (zero trust): enter your email address, receive a one-time PIN, enter it. Your identity on every action is the PIN-verified email — typed names are display labels only. The owner receives a sign-in alert on the first visit from each browser. A valid sign-in that the application does not know (no row under Admin) is refused and alerts the owner.

3. The sections

Documents open as /docs/current/<KEY>.html (in browser) or .pdf (download). The links are stable: when a new revision is published, the same link resolves to the newest rev. Signed counterparts open as "scan" links. Direct links work only for signed-in portal users; there are no public links, ever.

4. Meetings

A meeting (shareholders SHM or Board BOD) moves through five states, one step at a time, never backward:

To convene a meeting (owner/editor): the Convene form on the Board page. Serials are MTG-YYYY-NNN and never reused. Link instruments to a meeting from the instrument page (Meeting field); link the notice and minutes on the meeting page.

5. The wet-original register (STD-0113 Table 6-3)

Execution is by wet signature. The counterparty is not expected to sign electronically. Every executed instrument exists as a wet-signed original on paper; the scan is the working evidence, the paper original is the legal evidence.

Every executed instrument carries four register fields:

An executed instrument with no Original filed flag shows on the Board page under "Originals outstanding" until custody and location are recorded.

6. Instrument status ladder

Draft → Served → Adopted / Rejected / Deferred → Executed → Superseded. "Served" is for instruments sent to the other party; "Adopted" for resolutions passed at a meeting; "Executed" for signed agreements; "Superseded" keeps the record visible but marked. Status changes are owner/editor actions on the instrument page; every change lands in the audit trail.

7. Deposits

The counterparty (and any portal user) deposits through the Deposits page: file, title, note. Deposits are append-only, timestamped, and attributed to the sign-in identity; files up to 20 MB. Deposits never overwrite anything and cannot be edited or deleted from the portal.

People are managed under Admin (owner only). A person needs both a Cloudflare Access policy entry (the sign-in gate) and an application row (the rights). Classification follows the STD-0012 ladder; portal content defaults to Commercial in Confidence because the audience includes the counterparty.
